Mopheus 软件许可协议Mopheus Software License Agreement

云和恩墨（北京）信息技术有限公司（以下简称「云和恩墨」或「Enmotech」）同意授权您访问与使用 Mopheus 软件（以下简称「程序」或「Mopheus」），前提是您接受本许可协议（「协议」）并受其约束。选择下载、复制安装命令、安装或使用程序，即表示您作为您的公司或组织的授权代表或作为个人接受本协议。如果您不同意受本协议约束，请勿下载、安装或使用该软件。Enmotech (Beijing) Information Technology Co., Ltd. (“Enmotech”) grants you access to and use of the Mopheus software (the “Program” or “Mopheus”) only if you accept this License Agreement (the “Agreement”). By downloading, copying install commands, installing, or using the Program, you accept this Agreement as an authorized representative of your organization or as an individual. If you do not agree, do not download, install, or use the software.

1. 声明和承诺1. Notices and acceptance of changes

如云和恩墨需要对本协议进行变更或修改，云和恩墨会通过云和恩墨网站（enmotech.com）或 Mopheus 相关站点公告的方式予以公布。若您在协议内容变更公告后继续使用 Mopheus，表示您已充分阅读、理解并接受变更后的协议内容。If Enmotech changes this Agreement, it will publish the update on enmotech.com or related Mopheus sites. Continued use of Mopheus after notice means you accept the updated terms.

2. 定义2. Definitions

• 「云和恩墨」是指云和恩墨（北京）信息技术有限公司。“Enmotech” means Enmotech (Beijing) Information Technology Co., Ltd.
• 「Mopheus」是指云和恩墨提供的任务管理与人机协作平台软件及其相关组件（包括但不限于控制平面、CLI、守护进程及相关文档），核心理念是将 AI 智能体作为队友而非工具，支持工单、定时任务、运行时、技能、记忆与 SwissQL 等能力。产品说明以官方文档为准。“Mopheus” means Enmotech’s task-management and human–AI collaboration platform and related components (including control plane, CLI, daemon, and documentation). Agents are treated as teammates—not tools—across tickets, jobs, runtimes, skills, memory, SwissQL, and related capabilities. Official docs are authoritative for product scope.
• 「程序」是指云和恩墨根据本协议提供的 Mopheus 软件以及云和恩墨提供的任何更新、错误更正和/或程序文档。“Program” means Mopheus as provided under this Agreement, including updates, fixes, and documentation.
• 「您」是指访问程序的公司或组织，或访问程序的个人。“You” means the company/organization or individual accessing the Program.

3. 许可性质与权利限制3. License grant and restrictions

根据官方安装部署文档，Mopheus 使用专有许可证（Proprietary License），由云和恩墨拥有所有权利。云和恩墨授予您非排他性、不可转让、不可再许可且可撤销的有限许可，允许您在遵守本协议的前提下安装和使用程序。Per official installation docs, Mopheus uses a Proprietary License; Enmotech retains all rights. Enmotech grants you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to install and use the Program under this Agreement.

系统首次启动时可启用内置默认许可证以便使用；默认许可证包含配额限制（工作区数量 2；每个工作区智能体数 5；每个工作区团队数 2；每个工作区记忆数 50）。如需扩展配额或启用高级功能，须按文档从管理后台导入正式许可证，或联系 licensing@enmotech.com 获取正式许可证。On first start, a built-in default license may be enabled, with documented quotas (2 workspaces; 5 agents / 2 teams / 50 memories per workspace). To expand quotas or enable advanced features, import a commercial license in Admin → Licensing as documented, or contact licensing@enmotech.com.

无论用户类型如何，您均不得：You may not:

• 删除、篡改或隐藏程序中的版权标识、商标、专利声明或其他所有权信息；remove or obscure copyright, trademark, patent, or other ownership notices;
• 未经云和恩墨书面许可，向任何第三方提供、出租、出借、再分发程序，或公开传播程序（为您履行工作且受本协议约束的承包商除外）；provide, rent, lend, redistribute, or publicly distribute the Program to third parties without Enmotech’s written permission (except contractors acting for you under this Agreement);
• 对程序进行逆向工程、反汇编、反编译或试图获取源代码，除非适用法律强制要求为实现互操作性所必需；reverse engineer, disassemble, or decompile the Program, or attempt to obtain source code, except as mandatory law requires for interoperability;
• 将程序用于违反任何适用法律法规的活动。use the Program in violation of applicable law.

本协议未明确授予的所有权利均由云和恩墨保留。All rights not expressly granted are reserved by Enmotech.

4. 知识产权及保密4. Intellectual property and confidentiality

云和恩墨或其许可方保留对程序的所有权和知识产权，相关权利受中华人民共和国著作权法、商标法、专利法、反不正当竞争法及适用国际条约保护。您对在使用过程中获知的云和恩墨商业秘密承担保密义务，直至该等信息通过合法途径进入公众领域。Enmotech or its licensors retain ownership and IP in the Program, protected under PRC law and applicable treaties. You must keep Enmotech confidential information secret until it lawfully enters the public domain.

5. 免责声明与责任限制5. Disclaimer and limitation of liability

在适用法律允许的最大范围内，程序按「现状」提供。云和恩墨不对程序的适销性、特定用途适用性、无缺陷或无侵权作出明示或默示保证。因使用或不能使用程序所产生的直接或间接损失，云和恩墨在法律允许范围内不承担责任；如依法仍须承担责任，责任总额不超过您就当次许可或服务向云和恩墨支付的费用（如有）。To the maximum extent permitted by law, the Program is provided “as is.” Enmotech disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. Enmotech is not liable for damages arising from use or inability to use the Program; if liability cannot be excluded, it is capped at fees you paid Enmotech for the relevant license or service (if any).

6. 技术支持6. Support

除非您与云和恩墨另行签订支持或服务合同，程序的提供不自动包含持续的运维、定制开发或 SLA 承诺。如需商业支持或正式许可证，请联系 market 部门：marketing@enmotech.com，电话 400-660-8755；许可证事务可联系 licensing@enmotech.com。Unless you have a separate support or services contract, the Program does not include ongoing ops, custom development, or SLA commitments. For commercial support or licenses, contact marketing@enmotech.com / 400-660-8755; for licensing matters, licensing@enmotech.com.

7. 终止7. Termination

您可以通过销毁程序的所有副本来终止本协议。若您未能遵守本协议任何条款，本协议可自动终止；终止后您应立即停止使用并销毁程序的所有副本。You may terminate by destroying all copies of the Program. If you breach this Agreement, it may terminate automatically; you must then stop use and destroy all copies.

8. 完整协议与准据法8. Entire agreement and governing law

本协议构成关于程序许可的完整约定。本协议受中华人民共和国大陆地区法律管辖。因本协议引起的争议，提交云和恩墨所在地有管辖权的人民法院解决。This Agreement is the entire license agreement for the Program. It is governed by the laws of mainland China. Disputes shall be submitted to a competent court where Enmotech is located.
